01Acceptance of these terms

These Terms of Use govern your access to and use of the website published at viship.co (the “Website”), operated by VI Ship (“VI Ship”, “we”, “us”, “our”).

By accessing, browsing, or otherwise using the Website, you confirm that you have read, understood, and agreed to be bound by these Terms of Use and by our Privacy Policy. If you do not agree with any part of these terms, please do not use the Website.

Additional or separate terms may apply to particular services, and where they do, those terms apply in addition to these. Nothing on the Website creates a binding engagement for the provision of Services unless a separate written agreement is signed by both parties.

02Definitions

In these Terms of Use, the following expressions have the meanings set out below:

  • “Content” means all text, images, graphics, logos, illustrations, layouts, page designs, software, and other material made available on the Website.
  • “Services” means the shipping agency and logistics services we provide, including port agency, vessel husbandry, cargo documentation, customs coordination, sea and air freight, and multimodal logistics.
  • “User” means any person who accesses or uses the Website.

03Permitted use of the website

The Website is provided for general information about VI Ship and our Services, and to enable you to contact us regarding vessel calls, cargo movements, and related enquiries. You may access and view the Website for your own lawful business or personal purposes.

You agree that you will not:

  • use the Website in any way that breaches applicable law or regulation in Vietnam or in any other jurisdiction from which you access it;
  • use the Website for any fraudulent purpose, or in connection with any unlawful activity;
  • attempt to gain unauthorised access to the Website, the server on which it is stored, or any connected server, computer, or database;
  • introduce any virus, trojan, worm, logic bomb, or other material that is malicious or technologically harmful;
  • use any automated system, including robots, scrapers, or data-mining tools, to extract Content from the Website without our prior written consent;
  • interfere with, disrupt, or impose an unreasonable load on the Website or its supporting infrastructure; or
  • reproduce, resell, or commercially exploit any part of the Website or its Content except as expressly permitted in these terms.

We may suspend or withdraw your access to the Website, without notice, if we reasonably consider that you have breached these terms.

04Intellectual property

All intellectual property rights in the Website and its Content — including the VI Ship name, logo, brand marks, page design, and written material — are owned by or licensed to VI Ship and are protected by applicable intellectual property laws.

You may print or download extracts of Content for your own internal reference, provided that you do not modify it and that you do not remove any copyright, trade mark, or other proprietary notice. You may not otherwise copy, reproduce, republish, distribute, adapt, or create derivative works from the Content without our prior written permission.

Any trade marks, service marks, or trade names belonging to third parties that appear on the Website remain the property of their respective owners and are used for identification purposes only.

05Enquiries and quotations

Information published on the Website, including any description of our Services, does not constitute an offer capable of acceptance and does not create a contract between us. Enquiries submitted through the Website — whether by contact form, email, or telephone — are treated as requests for information only.

Any quotation, proforma disbursement account, rate indication, or schedule we provide is given for guidance, is valid only for the period stated, and is subject to confirmation, to availability, and to the applicable terms of engagement. A binding agreement arises only when we confirm the engagement in writing.

06Provision of services

Our Services are supplied on the basis of our standard terms and conditions of business, together with any specific engagement letter, agency agreement, or written instruction agreed between us. Those terms — and not these Terms of Use — govern the performance of the Services, including matters of liability, insurance, timeframes, charges, and dispute resolution.

Where there is any conflict between these Terms of Use and our standard terms and conditions of business in relation to the Services, the standard terms and conditions of business prevail. A copy is available on request from info@viship.co.

07Accuracy of information

We take care to ensure that the information on the Website is accurate and current at the time of publication. However, port operations, schedules, regulatory requirements, and commercial conditions change frequently. Content is provided for general information only and should not be relied upon as the sole basis for any operational, commercial, or regulatory decision.

Nothing on the Website constitutes advice — legal, customs, regulatory, insurance, or otherwise — on which you should rely. You should obtain professional or specialist advice before taking, or refraining from taking, any action on the basis of Content published here.

08Third-party links

The Website may contain links to third-party websites, resources, or services, including those of port authorities, carriers, and logistics partners. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them, for any loss or damage arising from your use of them, or for the practices of their operators.

The inclusion of a link does not imply endorsement, approval, or any association with the linked site or its operator.

09Availability and security

We do not guarantee that the Website, or any Content on it, will always be available or uninterrupted. Access is permitted on a temporary basis, and we may suspend, withdraw, discontinue, or change all or any part of the Website without notice, including for maintenance, upgrades, or operational reasons.

You are responsible for configuring your own information technology and platform in order to access the Website, and for using your own virus protection software. We do not guarantee that the Website will be free from bugs, viruses, or other harmful components.

10Disclaimers

To the fullest extent permitted by applicable law, the Website and its Content are provided on an “as is” and “as available” basis, without warranties, representations, or conditions of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited under the laws of Vietnam, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

11Limitation of liability

To the fullest extent permitted by applicable law, VI Ship, its directors, employees, agents, and affiliates shall not be liable to you for any loss or damage — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — arising out of or in connection with:

  • your use of, or inability to use, the Website;
  • reliance on any Content published on the Website;
  • any interruption, suspension, or unavailability of the Website; or
  • any virus, malicious code, or other technologically harmful material that may infect your equipment as a result of your use of the Website.

In particular, we shall not be liable for any loss of profit, loss of business, loss of contracts, loss of anticipated savings, loss of goodwill, loss of data, or any indirect or consequential loss.

This clause does not affect our liability under any separate contract for the provision of Services, which is governed by our standard terms and conditions of business.

12Indemnity

You agree to indemnify and hold harmless VI Ship, its directors, employees, and agents against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms of Use, your misuse of the Website, or your violation of any applicable law or the rights of any third party.

13Privacy and personal data

We process personal data collected through the Website in accordance with our Privacy Policy and with Decree No. 13/2023/ND-CP on Personal Data Protection and other applicable Vietnamese law. By using the Website, you acknowledge that you have read the Privacy Policy and understand how we handle personal data.

14Changes to these terms

We may amend these Terms of Use from time to time to reflect changes in our Services, our operations, or applicable law. The version in force is the one published on this page, and the effective date is shown at the top. Please review this page periodically. Your continued use of the Website after any change takes effect constitutes acceptance of the revised terms.
